Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Bildara, including our website, dashboard, and AI-powered tools (Idea Intelligence, Business Builder, Command Center, Market Stress Test, Customer Feedback Sim, Idea Fixer, and Bildara Pages, together the "Service"), operated by Bildara, LLC ("Bildara," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you don't agree, please don't use the Service.

2. Who Can Use Bildara

You must be at least 18 years old and able to form a binding contract to use Bildara. By using the Service you confirm this is true and that the information you provide during signup is accurate.

3. Your Account

You're responsible for maintaining the security of your account and password, and for all activity under your account. Tell us right away if you suspect unauthorized use.

4. Referral Program

Bildara's referral program lets you share a personal referral link. If someone signs up through your link and completes their first paid subscription, you may receive a reward. The following terms govern that program:

What qualifies: a reward is only granted once the person you referred completes a paid checkout — signing up alone does not trigger a reward.
One referral per person: each new customer can only ever be counted as a referral for one account — the first valid link used.
No self-referrals: you may not use your own referral link on your own account, and we reserve the right to deny or reverse rewards obtained through fraudulent, duplicate, or abusive account activity.
Reward type and cap: your first three (3) converted referrals in any rolling twelve-month period earn a billing credit (one free month if you're on monthly billing, or a proportional credit if you're on yearly billing). Referrals beyond that cap in the same twelve-month period earn Bildara fuel instead of a billing credit.
Credit expiration: billing credits expire twelve (12) months from the date they're granted if unused. An expired credit is removed from your account balance and cannot be reinstated.
No cash value: referral rewards (billing credit or fuel) have no cash value, cannot be transferred, exchanged, or redeemed for cash, and are forfeited if your account is closed.
Changes: we may modify, pause, or end the referral program, or adjust reward amounts and caps, at any time with reasonable notice; changes don't affect rewards already granted.

5. Plans, Billing & Cancellation

Bildara offers a Free plan and paid subscription plans (currently Founder and Portfolio), billed monthly or yearly, plus optional add-ons (extra Command Center slots, Bildara Pages, and additional generated pages). Current pricing is shown on our pricing page and may change with notice.

Paid plans renew automatically at the end of each billing period until cancelled.
You can cancel anytime from our Help page; cancellation takes effect at the end of the current billing period, and you keep access until then.
Fees are billed in advance and, except where required by law, are non-refundable — including for partial billing periods and unused monthly runs.
Payments are processed securely by Stripe. We don't store your full card details.

6. AI-Generated Content — Please Read Carefully

Bildara's tools use AI (including third-party AI models) to generate business analysis, plans, roadmaps, legal and compliance checklists, market research, and related content ("AI Output"). AI Output is provided for informational and planning purposes only.

AI Output is not legal, tax, financial, or professional advice. It may contain errors, outdated information, or inaccuracies. Before you rely on AI Output — including anything related to entity formation, licensing, contracts, taxes, or compliance — you should independently verify it and, where appropriate, consult a qualified attorney, accountant, or other licensed professional. You are solely responsible for decisions you make based on AI Output.

7. Your Content

You retain ownership of the business ideas, inputs, and content you submit to Bildara ("Your Content"). You grant us a limited license to use Your Content to operate, maintain, and improve the Service — for example, to generate your analyses and to send the relevant portions to our AI providers for processing. We don't sell Your Content, and we don't use it to train third-party foundation models.

8. Acceptable Use

Please don't use Bildara to: violate any law; infringe someone else's rights; upload malicious code; attempt to reverse-engineer or scrape the Service; resell or white-label the Service without our written permission; or use the outputs to generate content that is illegal, fraudulent, or harmful.

9. Intellectual Property

Bildara, including its software, design, and branding, is owned by us and protected by intellectual property laws. These Terms don't grant you any rights to our trademarks or branding.

10. Termination

You may stop using Bildara and delete your account at any time. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Service or other users.

11. Disclaimers & Limitation of Liability

The Service is provided "as is" without warranties of any kind, express or implied. We do not guarantee that AI Output will be accurate, complete, or suitable for your specific situation, or that your business will succeed. To the maximum extent permitted by law, Bildara and its affiliates won't be liable for indirect, incidental, or consequential damages, or for lost profits, arising from your use of the Service. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim arose.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we'll notify you (for example, by email or in-app notice). Continuing to use Bildara after changes take effect means you accept the updated Terms.

13. Dispute Resolution — Binding Arbitration & Class Action Waiver

Please read this section carefully — it affects your legal rights, including your right to go to court.

You and Bildara agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service will be resolved through binding, individual arbitration rather than in court, except as set out below.

Individual basis only. Arbitration will be conducted on an individual basis. You and Bildara each waive the right to bring or participate in any class, collective, or representative action, and the arbitrator has no authority to combine more than one person's claims into a single proceeding.
Arbitration provider. Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, and may be conducted remotely or by written submissions where the AAA's rules allow.
Exceptions. Either party may bring an individual claim in small claims court instead of arbitration if it qualifies. Either party may also seek injunctive relief in court to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.
Your right to opt out. You may opt out of this arbitration agreement by emailing us through our Help page within 30 days of first agreeing to these Terms, stating clearly that you wish to opt out of arbitration. If you opt out, neither you nor Bildara is bound by the arbitration or class-action-waiver provisions in this section, and disputes will instead be resolved under Section 14 (Governing Law).
Severability. If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) may proceed in court rather than in arbitration; the rest of this section stays in effect.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, unless otherwise required by applicable consumer protection law.
